TERMS & CONDITIONS APPLICABLE TO THE PURCHASE OF ELEARNING COURSES

Before accessing or using the services offered on the website, please read carefully the following terms and conditions below. These terms and conditions govern your access to and use of the website and any programs, services, tools, software, materials, or other information available through the website or used in connection therewith. 

The company is willing to grant access to and allow the use of this website only on the condition that you accept and agree to all of the terms and conditions contained therein. By using the website, you therefore agree to be bound by the terms and conditions set forth below. 

If you do not wish to be bound by these terms and conditions, you are not granted permission to access or otherwise use the site and are instructed to exit the site immediately. 

Definitions

“eLearning course” comprises the educational activities and course materials that can be purchased directly from the website.

“course materials” may include, but is not limited to, the following components:

“video content” being pre-recorded video lectures or tutorials available for streaming online. Some videos may be downloadable for offline access at the discretion of the company.

“live webinars” being scheduled interactive sessions conducted via the internet where participants can engage in real-time discussions, ask questions, and receive immediate feedback from the elearning course facilitator.

“digital materials” being additional resources to support the learning experience, which may include:

“PDF files” being documents, guides, worksheets, and supplementary reading materials that can be downloaded for offline use.

“software” being specialised software tools or applications that are relevant to the course subject matter and can be downloaded and installed on the learner’s device.

“other digital content” being various multimedia and interactive elements such as quizzes, simulations, and interactive exercises designed to enhance the learning experience.

“fee” means the selling price of the eLearning course as set out on the website, less any discount applied to the selling price, and paid by you to the company to purchase the eLearning course.

“terms”, “terms and conditions” refer to all of the clauses and subclauses in this document.

“us”, “we”, “our”, “Kipidi” or “company” refers to Kipidi Biz College Proprietary Limited, registration number 2023/237464/07.

“website” refers to the website through which the eLearning courses are accessed, being the website www.kipidishortcourses.co.za owned by the company. 

“you”, “your”, “purchaser”, “client”,  “customer”, “learner” refer to the person or organisational representative purchasing any eLearning courses on our website.

Pricing and Payment

The  company uses PayFast as a third party payment provider. Payment for eLearning courses must be made in advance before access to the eLearning course is granted and is not refundable.

You agree to provide payment for the eLearning course in the stipulated currency being South African Rand ZAR and you will be liable to pay any relevant conversion charges, as well as applicable sales tax in your region. Please note that we must receive your payment in full before providing you with access to the eLearning course.

We reserve our right to review and change the pricing of any of our eLearning courses. This will not affect eLearning courses that have already been purchased.

Cancellation Policy

Where eLearning courses are delivered to you immediately, you will not have the right to change your mind and cancel the purchase.

It is your responsibility to ensure that you meet the system requirements, including compatible hardware, software, telecommunications equipment and Internet service, prior to purchasing any content. We are unable to provide refunds where your access to the eLearning course is inhibited due to insufficient system requirements.

If you have purchased an eLearning course and have already accessed, downloaded all or part of the eLearning course and/or started to use the eLearning course then you shall have no right to cancel your order and receive a refund in whole or part.

Special Offers and Coupons

The company might from time to time advertise special offers and/or issue coupons (special offer) offering a discount on the selling price of an eLearning course. In addition to these terms and conditions these special offers may contain their own unique terms at the time that such special offer is advertised. Special offers and coupons will not apply to eLearning courses already purchased at the time that the special offer is advertised or coupon is issued.

Username and Password Policy. 

Registration is required as an authorised user for access to certain areas of the website which will require both a username and password. Only one authorised user can use one username and password and account. By using the website, you agree to keep your username and password as confidential information. You also agree not to use another authorised user’s account. Should you become aware of any loss or theft of your password or any unauthorised use of your name and password, you will immediately notify the company. The company cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations. The company also reserves the right to delete or change (with notice) a username or password at any time and for any reason. 

Access to eLearning Courses

Upon purchase of an eLearning course, customers are granted access to the eLearning course for a period of 3 (three) months from the date of purchase (the initial access period). After this period, continued access to the eLearning course will be provided at the sole discretion of the company. The company reserves the right to alter or terminate access to the eLearning course content after the initial access period without prior notice.

We will take all commercially reasonable steps to provide you with uninterrupted access to the eLearning courses. However, your access may be restricted from time to time for reasons beyond our control. Such reasons include force majeure events, power outages and actions from computer hackers and others acting outside the law. Your access may also be interrupted due to software issues, server downtime, increased Internet traffic, programming errors, regular maintenance and other related reasons. Where this is the case, we will take commercially reasonable steps to restore your full access within a reasonable period of time. ‘Commercially reasonable’ in these terms shall mean reasonable efforts taken in good faith, without an unduly burdensome use or expenditure of time, resources, personnel or money.

Our joint aim is to provide eLearning courses of the highest quality. As such, improvements or changes to the eLearning courses or any other materials may occur at any time without prior notification in order to ensure that they are up to date and accurate.

Where your access to the eLearning courses is restricted for any of the above reasons, we may provide you with a free extension of time at our sole discretion.

Intellectual Property

All rights, title, and interest in intellectual property rights relating to the eLearning course including copyright, patents, trademarks, trade secrets, improvements, developments, proprietary information, know-how, processes, methods, business plans or models (including computer software and preparatory and design materials thereof) and all other intellectual property (whether registered or not) developed or created from time to time shall exclusively be owned by the  company. While you may utilise the intellectual property, you understand that there shall be no transfer of ownership of the same.

Nothing that you see or read in the eLearning course may be copied, reproduced, modified, distributed, transmitted, republished, displayed, or performed for commercial use.

All other trademarks, service marks, and trade names in this material are the marks of the respective owners and any unauthorised use is prohibited.

Throughout your learning, you might be exposed to the forums or in another way to fellow students taking the same course. Your undertaking is that you will deal with all such company and personal information in a highly confidential and lawful manner.

Indemnification

The  company is hereby indemnified against any incidental and consequential damages that may arise.

The  company is therefore not liable to you in any way for any indirect, special, incidental, punitive, or consequential damages of any character, including without limitation damages for loss of goodwill, work stoppage, computer failure or malfunction, loss of data, loss of productivity or contract or any other commercial damages or losses.

The  company’s liability to you for any damage to your computer system or loss of data resulting from the downloading of content is limited to the amount you have paid for the eLearning course. In no event shall the company be liable for damages above this sum.

Disclaimer 

You understand and accept that the company cannot and does not guarantee or warrant that files available for downloading through the website will be free of infection or viruses, worms, Trojan horses or other code that manifest contaminating or destructive properties. You are responsible for implementing sufficient procedures and checkpoints on your personal computer to satisfy your particular requirements for accuracy of data input and output, and for maintaining a means external to the website for the reconstruction of any lost data. You understand and agree to assume total responsibility and risk for your use of the website.

The company provides the website and related information “as is” and does not make any express or implied warranties, representations or endorsements whatsoever. You understand further that the pure nature of the internet contains unedited materials some of which are sexually explicit or may be offensive to you. Your access to such materials is at your own risk. The company has no control over and accepts no responsibility whatsoever for such materials. 

Limits of Liability

The company’s total liability arising from or in connection with these terms and conditions and in relation to anything which we may have done or not done in connection with these terms and conditions and the delivery of the eLearning course (and whether the liability arises because of breach of contract, negligence or for any other reason) shall be limited to the fees received by us in connection with the relevant eLearning course in relation to which a dispute has arisen.

In no circumstances shall the company, its directors, employees, or suppliers, be liable for any direct or indirect financial or intangible losses arising from any inaccuracy or misleading information provided in the eLearning course, or your ability to access, use, or inability to access the eLearning course.

Any claims that are made must be registered with us no longer than 90 days after the date of purchase of the eLearning course forming the subject matter of the dispute.

Events Outside our Control

The company shall not be responsible for any breach of its obligation arising from any Force Majeure occurrences including, but not exclusively; war, hostilities, trade restrictions, extreme natural events, epidemic or pandemic diseases.

Third Party Websites

Some of our eLearning courses contain links to third party websites to provide some additional helpful information to assist learning. The company has no control over third party websites and therefore accepts no responsibility for any content or information contained on those websites.

Data Protection and Privacy

The company will process data you provide in line with our privacy policy, which is available on our website. You consent to the use of that data in line with our privacy policy. Your personal data will not be shared with any third party except for the financial organisation used for processing your purchase.
